Terms of Service – Southshore Medical Solutions LLC

These Terms of Service (“Terms“) govern your use of Southshore Medical Solutions LLC‘s (“Company,” “we,” or “us“) website (southmedi.com) and all B2B services, including medical billing solutions and wholesale medical supply distribution. By accessing our services, you agree to comply with these Terms.


1. Acceptance of Terms

By using our website or services, you confirm that:

  • You are a business entity (not a consumer) and authorized to agree to these Terms.

  • You will comply with all applicable laws (e.g., HIPAA, FDA regulations).


2. Services Overview

We provide:
✔ Medical Billing & Revenue Cycle Management (for healthcare providers)
✔ Wholesale Medical Supplies (e.g., cardiology, lab equipment, PPE)

Note: All services are B2B only—we do not sell to individual consumers.


3. Account Registration (If Applicable)

  • You must provide accurate business information.

  • You are responsible for account security (passwords, user access).

  • We reserve the right to suspend/terminate accounts for fraud or policy violations.


4. Orders & Payments

  • Pricing: All prices are in USD and subject to change.

  • Payment Terms: Net [15/30] days for approved credit accounts; otherwise, prepayment required.

  • Taxes: Buyer is responsible for all sales/use taxes.

  • Order Cancellations: Must be requested within 24 hours of placement.


5. Shipping & Risk of Loss

  • Shipping Terms: FOB Shipping Point (title transfers upon carrier pickup).

  • Delays: We are not liable for carrier delays or force majeure events.

  • Inspection: Report damaged/incorrect shipments within 48 hours.


6. Returns & Replacements

  • Strictly limited to defective, damaged, or incorrectly shipped items (see Return Policy).

  • No refunds—only replacements or account credits.


7. Medical Billing Services

  • Compliance: Clients must provide accurate, lawful patient data (HIPAA-compliant).

  • Claims: We submit claims per payer rules but do not guarantee reimbursement.


8. Intellectual Property

  • All website content (logos, text, software) is Company-owned.

  • No unauthorized use of trademarks, data, or proprietary systems.


9. Limitation of Liability

  • We are not liable for:

    • Indirect damages (lost profits, data loss).

    • Product misuse or unauthorized modifications.

  • Maximum liability = total fees paid for the service/product in question.


10. Termination

  • Either party may terminate with 30 days’ written notice.

  • We may immediately suspend services for:

    • Non-payment

    • Fraudulent activity

    • Regulatory violations


11. Governing Law & Disputes

  • Jurisdiction: California , USA.

  • Dispute Resolution: Arbitration (no class actions).


12. Changes to Terms

We may update these Terms; the latest version will be posted on southmedi.com.
